Evenimente importante de raportat: Decizia Consiliului de Administratie cu privire la majorarea capitalului social al Societatii

Conducerea One United Properties S.A. (denumita in continuare „Societatea”) informeaza piata cu privire la faptul ca, in urma sedintei din data de 19 aprilie 2024, Consiliul de Administratie a decis majorarea capitalului social al Societatii, in conformitate cu Hotararea AGEA nr. 68 din 9 octombrie 2024.

Majorarea capitalului social cu suma de 6.240.640,4 lei, prin emiterea a 31.203.202 actiuni noi, avand o valoare nominala de 0,2 lei pe actiune si o valoare nominala totala de 6.240.640,4 lei se realizeaza in vederea compensarii creantelor certe, lichide si exigibile detinute impotriva Societatii de catre beneficiarii planurilor de alocare de actiuni aprobate la nivelul Societatii.

Decizia Consiliului de Administratie este anexata prezentului raport curent.

WHEREAS:

(A)  In data de 9 octombrie 2023, Adunarea Generala Extraordinara a Actionarilor Societatii („AGEA”) a aprobat delegarea atributiilor AGEA privind hotararea de majorare a capitalului social al Societatii catre Consiliul de Administratie al Societatii in temeiul prevederilor art. 114 alin. (1) si art. 2201 alin. (2) din Legea Societatilor, respectiv in temeiul prevederilor art. 86 alin. (2) din Legea nr. 24/2017, cu puterea de a ridica sau restrange dreptul de preferinta al actionarilor in conformitate cu prevederile art. 217 din Legea Societatilor, respectiv in conformitate cu prevederile art. 86 alin. (3) si art. 88 alin. (1) din Legea nr. 24/2017 si ale art. 2201 alin. (3) din Legea Societatilor, pentru o perioada de trei (3) ani, printr-una sau mai multe emisiuni de actiuni ordinare, nominative si dematerializate, cu o valoare nominala care sa nu depaseasca o patrime din capitalul social subscris, existent in momentul hotararii si autorizarii, respectiv cu pana la 12.481.281 RON, cu scopul de a duce la indeplinire si implementare a prevederilor oricarui program de alocare a actiunilor (de tip „stock option plan”) persoanelor din conducerea Societatii si/sau filialelor acesteia sau catre angajati ai Societatii si/sau filialelor acesteia, aprobat (inclusiv prin Hotararea Adunarii Generale Ordinare a Actionarilor Societatii din data de 19 aprilie 2021 punctul 6, cu modificarile, completarile si actualizarile ulterioare) sau care urmeaza sa fie aprobat in viitor („Hotararea AGEA nr. 68 din 9 octombrie 2023”);

(A)  On 9 October 2023, the Extraordinary General Meeting of Shareholders of the Company (the “EGMS”) approved the delegation of the EGMS’ duties regarding the decision to increase the share capital of the Company to the Company’s Board of Directors under the provisions of Article 114 paragraph (1) and Article 2201 paragraph (2) of the Companies Law, respectively the provisions of Article 86 paragraph (2) of Law no. 24/2017, with the power to remove or restrict the preference right of shareholders in accordance with the provisions of Article 217 of the Companies Law and of Article 86 paragraph (3) and Article 88 paragraph (1) of Law no. 24/2017 and in accordance with the provisions of Article 2201 paragraph (3) of the Companies Law, respectively, for a period of three (3) years, through one or more issues of ordinary, registered and dematerialized shares, with a nominal value not exceeding a quarter of the subscribed share capital, existing at the date of the resolution and the authorization, i.e., up to RON 12,481,281, in order to carry out and implement the provisions of any share allocations plan for the persons in the management of the Company and/or its subsidiaries or to employees of the Company and/or its subsidiaries, approved (including by the Resolution of the Ordinary General Meeting of Shareholders of the Company of 19 April 2021 point 6, as subsequently amended, supplemented and updated) or which will be approved (the “EGMS Resolution no. 68 dated 9 October 2023”);

(B)  Consiliul de Administratie intentioneaza sa implementeze majorarea capitalului social in conformitate cu delegarea la care se face referire in Preambulul (A) de mai sus;

(B)  The Board of Directors envisages to implement the share capital increase in accordance with the delegated authority referred at Recital (A) above;

(C) Societatea are calitatea de asociat majoritar in societatea ONE COTROCENI PARK S.R.L., J40/16080/2017, EUID ROONRC. J40/16080/2017, CUI 38236441 (“Subsidiara OCP”), precum si faptul ca Subsidiara OCP urmeaza sa contracteze o facilitate de credit de la Banca Comerciala Intesa Sanpaolo Romania S.A. in cuantum de maximum 13.250.000 EURO, ce urmeaza a fi garantata cu fideiusiune solidara constituita de Societate in favoarea Bancii Comerciale Intesa Sanpaolo Romania S.A., si

(C) The Company is the majority shareholder of the company ONE COTROCENI PARK S.R.L., J40/16080/2017, EUID ROONRC. J40/16080/2017, CUI 38236441 ("OCP Subsidiary”), as well as well as the fact that OCP Subsidiary is expected to borrow a credit facility from Banca Comerciala Intesa Sanpaolo Romania S.A. in  amount of EUR 13,250,000 to be secured by a personal guarantee (jointly suretyship) created by the Company in favour of Banca Comerciala Intesa Sanpaolo Romania S.A.,

(D) Prin referire la dispozitiile legale in vigoare, precum si cele ale actului constitutiv actualizat al Societatii din data de 09.10.2023, respectiv, precum si a faptului ca valoarea creditului bancar ce urmeaza a fi contractat de catre Subsidiara OCP si/sau a garantiei ce urmeaza a fi constituita de Societate pentru Subsidiara OCP nu depaseste 20% din totalul activelor imobilizate, mai putin creantele, la data incheierii contractului de credit, respectiv, a contractului de  garantie,

(D) By reference to the legal provisions in force and the provisions of the up-dated articles of association of the Company dated 09.10.2023 as well as the fact that the value of each facility to be borrowed by OCP Subsidiary and/or the security to be created by the Company for OCP Subsidiary does not exceed at the date of the signing of the facility agreement, respectively, of the security agreement, 20% from the total immobilized assets, less receivables,

Constatand indeplinirea tuturor conditiilor prevazute de legislatia din Romania si de Actul Constitutiv al Societatii pentru validitatea acestei sedinte a Consiliului de Administratie si pentru luarea de hotarari,

Ascertaining the fulfillment of all requirements under the Romanian legislation and the Company’s Articles of Incorporation for the validity of this meeting of the Board of Directors and for passing resolutions,

HOTARASTE IN UNANIMITATE DUPA CUM URMEAZA:

UNANIMOUSLY RESOLVES AS FOLLOWS:

1.    Aproba majorarea capitalului social al Societatii cu suma de 6.240.640,4 RON (valoare nominala) („Majorarea Capitalului Social”), prin emisiunea unui numar de 31.203.202 actiuni noi cu o valoare nominala de 0,2 RON per actiune si o valoare nominala totala de 6.240.640,4 RON („Actiunile Noi”), dupa cum urmeaza:

1.    Approves the increase of the share capital with the amount of RON 6,240,640.4 (nominal value) (the “Share Capital Increase”), by issuance of 31,203,202 new shares having a nominal value of RON 0.2 per share and a total nominal value of RON 6,240,640.4 (the “New Shares”), as follows:

a)    In conformitate cu Hotararea AGEA nr. 68 din 9 octombrie 2023, Consiliul de Administratie aproba ridicarea drepturilor de preferinta ale actionarilor cu privire la Majorarea Capitalului Social;

a)    In accordance with the EGMS Resolution no. 68 dated 9 October 2023, the Board of Directors approves the removal of the preference rights of the shareholders with respect to the Share Capital Increase;

b)    Majorarea Capitalului Social are drept scop implementarea programului de alocare a actiunilor (de tip „stock option plan”) deja aprobat prin Hotararea Adunarii Generale Ordinare a Actionarilor Societatii din data de 19 aprilie 2021 punctul 6, cu modificarile, completarile si actualizarile ulterioare („Planul SOP);

b)    The Share Capital Increase has as purpose the implementation of the share allocation plan already approved by the Resolution of the Ordinary General Meeting of Shareholders dated 19 April 2021 point 6, as subsequently amended, supplemented and updated (the “SOP”);

c)    Majorarea Capitalului Social are loc prin compensarea creantelor certe, lichide si exigibile ale beneficiarilor Planului SOP, respectiv:

·         Compensarea creantei certe, lichide si exigibile in valoare de 14.771.595,83 RON a dlui. Andrei-Liviu Diaconescu; si

·         Compensarea creantei certe, lichide si exigibile in valoare de 14.771.595,83 RON a dlui. Victor Capitanu.

Astfel, valoarea totala a creantei certe, lichide si exigibile care este compensata in cadrul Majorarii Capitalului Social este de 29.543.191,66 RON, avandu-si temeiul si rezultand din Planul SOP si din acordurile de subscriere incheiate intre Societate si fiecare dintre cei doi beneficiari ai Planului SOP.

c)    The New Shares will be used for the conversion of certain, liquid and due receivables held against the Company by the beneficiaries of the SOP, respectively:

·         The conversion of the certain, liquid and due receivable in value of RON 14,771,595.83 of Mr. Andrei-Liviu Diaconescu; and

·         The conversion of the certain, liquid and due receivable in value of RON 14,771,595.83 of Mr. Victor Capitanu.

Thus, the total value of the certain, liquid and due receivable being converted within the Share Capital Increase is in value of RON 29,543,191.66, being based on and resulting from the SOP and the subscription agreement concluded between the Company and each of the SOP beneficiaries.

d)    Valoarea pentru o (1) Actiune Noua va fi de 0,9468 RON, stabilita in conformitate cu prevederile art. 174 din Regulamentul nr. 5/2018, reprezentand pretul mediu ponderat de tranzactionare, aferent ultimelor 12 luni anterioare datei prezentei decizii. Diferenta dintre valoarea per actiune pentru o Actiune Noua si valoarea nominala a unei Actiuni Noi (i.e., 0,9468 RON) reprezinta prima de emisiune per actiune;

d)    The value of one (1) New Share shall be RON 0.9468, determined in accordance with the provisions of Article 174 of Regulation no. 5/2018, representing the weighted average trading price for the 12 months period prior to the date of this decision. The difference between the value per share for a New Share and the nominal value of a New Share (i.e., RON 0.9468 RON) represents the share premium per share;

e)    Capitalul social al Societatii este astfel majorat de la valoarea nominala de 759.530.863 RON la valoarea nominala de 765.771.503,4 RON, prin emiterea unui numar de 31.203.202 actiuni noi cu o valoare nominala de 0,2 RON per actiune si o valoare nominala totala de 6.240.640,4 RON. Prima de emisiune este 23.302.551,26 RON, determinata ca diferenta intre valoarea totala a Actiunilor Noi (i.e., 29.543.191,66 RON) si valoarea nominala a Actiunilor Noi (i.e., 6.240.640,4 RON).

e)    The share capital of the Company is thus increased from the nominal value of RON 759,530,863 to the nominal value of RON 765,771,503.4, by issuing a number of 31,203,202 new shares with a nominal value of RON 0.2 per share and a total nominal value of RON 6,240,640.4. The share premium is RON 23,302,551.26, determined as the difference between the total value of the New Shares (i.e., RON 29,543,191.66) and the nominal value of the New Shares (i.e., RON 6,240,640.4).

f)     Atat valoarea nominala a Actiunilor Noi (i.e., 6.240.640,4 RON), cat si prima de emisiune (i.e., 23.302.551,26) au fost acoperite de catre Societate si inregistrate in contabilitate in conformitate cu cerintele IFRS aplicabile.

f)     Both the nominal value of the New Shares (i.e., RON 6,240,640.4) and the share premium (i.e., RON 23,302,551.26) were covered by the Company and registered in its accounts in compliance with the applicable IFRS requirements.

Dl Andrei-Liviu Diaconescu si dl Victor Capitanu s-au abtinut de la votul asupra acestui punct.

Mr. Andrei-Liviu Diaconescu and Mr. Victor Capitanu abstained from voting on this item.

2.    Aproba modificarea Actului Constitutiv pentru a reflecta Majorarea Capitalului Social. Astfel, articolul 4.1 din Actul Constitutiv se va modifica si va avea urmatorul continut:

2.    Approves the amendment of the Articles of Association to reflect the Share Capital Increase. Therefore, Article 4.1 of the Articles of Association shall amend and shall read as follows:

„Capitalul social subscris si varsat al Societatii este de 765.771.503,4 RON (din care 756.445.601,9 RON si 1.922.633,5 EUR), integral subscris si varsat de actionari, impartit intr-un numar de 3.828.857.517 actiuni ordinare, nominative si dematerializate, cu o valoare nominala de 0,2 RON/actiune.

“The subscribed and paid-up share capital of the Company is of RON 765,771,503.4 (of which RON 756,445,601.9 and EUR 1,922,633.5), fully subscribed and paid-up by the shareholders, divided into 3,828,857,517 ordinary, nominative shares, dematerialized, having a nominal value of RON 0.2/share.”

Aproba inlocuirea versiunii actuale a Actului Constitutiv cu o versiune actualizata care reflecta modificarile aprobate conform acestui punct.

Approves the replacement of the current version of the Articles of Association with an updated version reflecting the amendments approved under this item.

Dl Andrei-Liviu Diaconescu si dl Victor Capitanu s-au abtinut de la votul asupra acestui punct.

Mr. Andrei-Liviu Diaconescu and Mr. Victor Capitanu abstained from voting on this item.

3.    Aproba convocarea Adunarilor Generale Ordinare si Extraordinare ale Actionarilor Societatii pentru data de 28 mai 2024, ora 10:00 AM si respectiv ora 11:00 AM, la adresa One Tower, et. 17, Calea Floreasca nr. 165, Sector 1, Bucuresti, Romania, la care vor participa toti actionarii Societatii inregistrati in registrul actionarilor (tinut de Depozitarul Central S.A.) pana la sfarsitul zilei de 15 mai 2024 stabilita ca data de referinta, cu ordinea de zi atasata ca Anexa 1 la prezenta decizie. In caz de neintrunire a cvorumului de validitate la prima convocare, o a doua sedinta se va desfasura la data de 29 mai 2024, ora 10:00 AM, respectiv ora 11:00 AM in acelasi loc si cu aceeasi ordine de zi si avand aceeasi data de referinta.

3.    Approval of the convening of the Ordinary and Extraordinary General Meetings of Shareholders for the date of 28 May 2024, 10:00 AM and 11:00 AM respectively, at One Tower, 17th floor, 165 Calea Floreasca, District 1, Bucharest, Romania, to which all shareholders of the Company registered in the shareholders’ registry (held by Depozitarul Central S.A.) until the end of 15 May 2024, set as reference date, will take part of, with the agenda attached as Annex 1 to this decision. In case the necessary quorum will not be met at the first convocation, a second meeting will take place on 29 May 2024, 10:00 AM and 11:00 AM respectively, at the same place and with the same agenda and having the same reference date.

4.    Stabileste urmatoarele date:

4.    Sets the following dates:

a)    26 iunie 2024 ca data de inregistrare pentru identificarea actionarilor asupra carora se rasfrang efectele prezentei decizii, in conformitate cu prevederile art. 87 alin. (1) din Legea nr. 24/2017; si

a)    26 June 2024 as registration date, identifying the shareholders who will benefit from the effects of the resolutions adopted hereby, in accordance with the provisions of Article 87 paragraph (1) of Law no. 24/2017;

b)    27 iunie 2024 ca data a platii la care Actiunile Noi vor fi disponibile in conturile beneficiarilor programului de alocare a actiunilor (de tip „stock option plan”).

b)    27 June 2024 as the payment date on which the New Shares will be available in the accounts of the beneficiaries of the share allocations plan.

5.    Aproba desemnarea si imputernicirea fiecaruia dintre dl Claudio Cisullo, dl Victor Capitanu si dl Andrei-Liviu Diaconescu („Reprezentantii”), actionand individual si nu impreuna, semnatura oricaruia dintre Reprezentanti angajand in mod valabil si fiind obligatorie pentru Societate, pentru a indeplini urmatoarele acte si fapte in numele si pe seama Societatii („Imputernicirea”):

5.    Approves the empowerment and appointment of each of Mr. Claudio Cisullo, Mr. Victor Capitanu and Mr. Andrei-Liviu Diaconescu (the “Representatives”), individually and not jointly, the signature of any one of the Representatives being binding upon and mandatory for the Company, to do the following acts and things in the name of and on behalf of the Company (the “Power of Attorney”):

a)    cu putere si autoritate depline, sa semneze orice document, inclusiv prezenta decizie a Consiliului de Administratie, si sa realizeze orice alta formalitate necesara, utila sau oportuna pentru inregistrarea si opozabilitatea hotararilor adoptate, inclusiv semnarea Actului Constitutiv actualizat, dupa cum va fi cazul, precum si sa transmita orice alte documente care sunt necesare, adecvate, dezirabile, cerute, utile sau recomandabile in legatura cu exercitarea de catre Societate a tuturor drepturilor si indeplinirea tuturor obligatiilor sale rezultand din sau in legatura cu deciziile aprobate prin prezenta; si

a)    with full power and authority, to execute any document, including the resolution of the Board of Directors adopted hereby, as well as to perform any other formality necessary, useful or desirable in connection with the registration and the effect towards third parties of the resolutions approved herein, including the updated Articles of Incorporation, as the case may be, as well as to sign, seal, execute and deliver any other documents necessary, appropriate, desirable, required, useful or advisable in relation to the performance by the Company of all its rights and obligations under or in connection with the decisions adopted herein; and

b)    sa reprezinte Societatea, personal sau prin reprezentanti, cu puteri si autoritate deplina in fata Registrului Comertului, notarilor publici si a oricarei alte autoritati sau terti relevanti si sa indeplineasca toate formalitatile necesare cu privire la inregistrarea sau implementarea hotararilor luate prin prezenta la orice registru sau autoritate si sa indeplineasca orice alta actiune, sa semneze si sa modifice orice document si sa indeplineasca orice formalitate necesara pentru ca aspectele decise prin prezenta sa produca efecte depline.

b)    to represent the Company, in person or through proxies, with full powers and authority in front of the Trade Registry Office, notary public, and of any other authorities or relevant third parties and to carry out all the required formalities regarding the registration and implementation of the resolutions passed hereunder with any registrars or authorities and to take any other action, execute and amend any document and to perform any formalities necessary in order to give full effect to the matters decided herein.

Reprezentantii pot sa subdelege oricare si toate puterile acordate lor prin prezenta, dupa cum considera de cuviinta si cu respectarea oricaror limite impuse Reprezentantilor.

The Representatives are entitled to sub-delegate any and all of their powers granted hereunder, as they may seem fit and with the observance of any limits imposed on the Representatives.

6.    Aproba contractarea unei facilitati de credit de investitii in valoare de maximum 13.250.000 Euro de catre Subsidiara OCP de la Banca Comerciala Intesa Sanpaolo Romania S.A., destinata finantarii valorii unor active (stocuri de apartamente, locuri de parcare si spatii comerciale descrise in Anexa 2 la prezenta decizie), si executarea in acest sens de catre Subsidiara OCP a unui contract de credit cu Banca Comerciala Intesa Sanpaolo Romania S.A. ce va fi garantata cu o ipoteca imobiliara asupra unor imobile situate in Bucuresti, sector 5, str. Sergent Ion Nutu nr. 44, precum si cu o ipoteca mobiliara asupra anumitor bunuri mobile ce vor fi identificate in hotararea adunarii generale a asociatilor  Subsidiarei OCP.

6.    Approval is granted for OCP Subsidiary to borrow an investment facility in amount of EUR 13,250,000 from Banca Comerciala Intesa Sanpaolo Romania S.A., having as purpose the refinancing the value of certain assets (stock appartments, parking spaces and commercial spaces as decribed in the Annex 2 to this decision), for the signing and execution by OCP Subsidiary of a facility agreement with Banca Comerciala Intesa Sanpaolo Romania S.A. to be secured through a mortgage over specific immovable assets located in Bucharest, 5th District, 44 Sergent Ion Nutu Street, as well as through a mortgage over certain movabled assets to be identified in the resolution of the general meeting of shareholders of OCP Subsidiary.

7.    Aproba constituirea de catre Societate a unei garantii personale (fideiusiune solidara) pentru garantarea creditului accesat de catre Subsidiara OCP, precum si a celorlalte obligatii de plata aferente acesteia ("Garantia Societatii pentru Subsidiara OCP”) si executarea in acest sens de catre Societate a unui contract de fideiusiune incheiat cu Banca Comerciala Intesa Sanpaolo Romania S.A.

7.    Approval is granted for the Company to establish a personal guarantee (jointly suretyship) to secure the facility to be borrowed by OCP Subsidiary as well as its related payment obligations ("Company’s Guarantee for OCP Subsidiary”) and for as the signing and execution by Company of a personal guarantee (jointly suretyship) to be concluded with Banca Comerciala Intesa Sanpaolo Romania S.A.

8.    Aprobarea acordarii unei imputerniciri catre Dl. Victor Capitanu si Dl. Andrei-Liviu Diaconescu, in calitate de Administratori executivi si Directori ai Societatii, precum si D-lui Cosmin Valentin Samoila in calitate de Director Financiar („Reprezentantii Societatii”), actionand individual si avand dreptul de a delega astfel de puteri, astfel incat, in numele si pe seama Societatii, sa semneze documentele mentionate la punctele 1-2 de mai sus, contractul de credit si contractul de fideiusiune mai sus mentionate, precum si a oricaror alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor mai sus mentionate  si sa ia sau sa determine sa se ia oricare si toate masurile pe care Reprezentantii  Societatii le vor considera necesare, corespunzatoare sau recomandabile pentru a indeplini intentia si scopurile hotararilor de mai sus, inclusiv, fara limitare:

8.    To grant a power of attorney to Mr. Victor Capitanu and Mr. Andrei-Liviu Diaconescu, as the Company’s Executive Directors and Managers and Cosmin Valentin Samoila as Chief Financial Officer (the “Company’s Representatives”), acting individually and with the right to delegate such powers, in order to sign for and on behalf of the Company the documents mentioned at the point 1-2 above, the above mentioned credit agreement and jointly suretyship, as well as any other documents to be issued or signed by the Company to give effect to the above mentioned resolutions and take or cause to take any and all measures that the Company’s Representatives shall deem fit, proper or advisable to fulfil the intention and purpose of the resolutions above, without limitation:

a) sa negocieze si sa semneze, in numele si pe seama Societatii, garantia ce vor fi acordata de Societate, contractul de credit mai sus mentionate, precum si orice alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor de mai sus, si orice corespondenta care urmeaza a fi semnata si transmisa conform sau in legatura cu acestea, fiind inteles ca Reprezentantii Societatii sunt autorizati, imputerniciti sau au fost instruiti sa convina, in numele Societatii, asupra oricaror amendamente, modificari sau schimbari care urmeaza a fi aduse la garantiile Societatii, la contractul de credit, precum si orice alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor de mai sus, oricare alte contracte, documente, sau instrumente la care Societatea este parte sau se intentioneaza sa fie parte, dupa cum Reprezentantii Societatii, la discretia lor absoluta, vor considera corespunzator;

a) to negotiate and sign, in the name and on behalf of the Company, the Company’s guaranty, the above mentioned credit agreement, as well as any other documents to be issued or signed by the Company to give effect to the above resolutions, and any correspondence to be signed and sent in accordance or in connection therewith, it being understood that the Company’s Representatives are authorized, empowered or have been instructed to agree in the Company’s name on any amendment, change or alteration to be brought to the Company’s guaranty, the credit agreement, as well as any other documents to be issued or signed by the Company to give effect to the above resolutions, any other contract, document or instrument in which the Company is part or intends to be a part thereof, as the Company’s Representatives shall deem fit upon their absolute discretion;

b) sa inregistreze garantiile Societatii, contractul de credit, precum si orice alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor de mai sus, la care Societatea este parte sau se intentioneaza sa fie parte, daca este necesar, si sa completeze inscrierile corespunzatoare care urmeaza a fi introduse in registrele Societatii si sa indeplineasca oricare si toate formalitatile si sa ia orice alte masuri necesare, corespunzatoare sau recomandabile, pentru a conferi efect si vigoare deplina garantiei Societatii, contractului de credit,  precum si orice documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor de mai sus (inclusiv, fara limitare, reprezentarea si semnarea oricaror documente necesare in fata notarului public sau oricaror alte persoane, institutii, autoritati cu competente in privinta inregistrarii garantiei Societatii in orice registre publice;

b) to register the Company’s guaranty, the credit agreement, as well as any other documents to be issued or signed by the Company to give effect to the above resolutions, in which the Company is part or intends to be a part thereof, if required, and to complete the proper registrations which will be introduced in the Company’s records, and to fulfil any and all formalities and take any other necessary, proper or advisable measures, to give effect and validity to the Company’s guaranty, the credit agreement, as well as any other documents to be issued or signed by the Company to give effect to the above resolutions (including, but not limited to representation and signing any necessary documents before the notary public or any other persons, institutions, authorities with powers to register in any public registries the Company’s guaranty;

c) sa reprezinte ONE UNITED PROPERTIES S.A., in calitate de asociat majoritar, la adunarea generala a asociatilor Subsidiarei OCP in vederea aprobarii contractului de credit mai sus mentionat, precum si a celorlalte garantii mobiliare si imobiliare, ce urmeaza a fi constituite de Subsidiara OCP, astfel cum acestea vor fi detaliate in continutul hotararii adunarilor generale a asociatilor; si

In masura in care in structurile de finantare, astfel cum vor fi aprobate de catre banca, vor aparea ulterior conditii noi sau modificatoare fata de cele aprobate mai sus (inclusiv modificari cu privire la lista de imobile ce vor fi aduse in garantia bancii de catre Subsidiara OCP), dl. Andrei Liviu Diaconescu si dl. Victor Capitanu sunt imputerniciti impreuna sa decida, cum vor considera de cuviinta, cu privire la aceste aspecte care nu au fost mentionate/aprobate in prezenta decizie a consiliului de administratie (avand puteri de decizie cu privire la modificarea listei cu imobilele ce urmeaza a fi aduse in garantia bancii de catre Subsidiara OCP (adaugare noi imobile / eliminare imobile existente)).

c) to represent ONE UNITED PROPERTIES S.A. as majority shareholder at the general meeting of shareholders of the OCP Subsidiary with a view to approve the above-mentioned credit agreements as well as all movable and immovable securities to be created by the OCP Subsidiary, as detailed in the decision of the general meeting of the shareholders; and

To the extent that under the financing structures as will be approved by the bank, new or modifying conditions will be further added to those already approved above (including modifications related to the immovable assets to be mortgaged in favor of the bank by OCP Subsidiary), Mr. Andrei Liviu Diaconescu and Mr. Victor Capitanu are authorized together to decide, as they deem appropriate, regarding to the aspects not mentioned/approved under this decision of the board of directors (having decision-making powers regarding the modification of list with the immovable assets to be mortgaged in favor of the bank by the OCP Subsidiary (addition of new immovable assets / removal of the existing immovable assets)).

Avand in vedere ca Subsidiara OCP si ONE UNITED PROPERTIES S.A. fac parte din acelasi grup de societati (astfel cum acest termen este definit in legislatia in vigoare), ca intre societati exista relatii economice puternice si stabile si ca au o strategie de dezvoltare comuna, ca recunosc si promoveaza colaborarea intre ele in scopul realizarii obiectului de activitate al fiecaruia si al eficientizarii activitatii comerciale a fiecaruia, structura de garantare intre societati este posibila si nu contravine intereselor niciuneia dintre acestea.

 

Having in view that the OCP Subsidiary and ONE UNITED PROPERTIES S.A. are part of the same group companies (as term is defined under the legislation in force), there are strong and stable economic relations between them and they have a common development strategy, they recognize and promote the collaboration between them for the purpose of achievement of their object activity and of the efficiency of their commercial activity, the guarantee structure between the companies is possible and does not contravene to their interests.

Prezenta Decizie a fost semnata astazi, data mentionata mai sus, in 4 (patru) exemplare originale, in limbile romana si engleza si contine 2 (doua) anexe. In caz de discrepanta intre cele doua versiuni, versiunea in limba romana va prevala.

This Resolution has been signed today, the date mentioned above in 4 (four) original counterparts, in Romanian and English languages and includes 2 (two) annexes. In case of discrepancies between the two versions, the Romanian language version shall prevail.
